These Terms of Service ("Terms") govern your access to and use of the New Tech Advertising platform, website, and services (collectively, the "Service") operated by New Tech Advertising ("NTA," "we," "us," or "our").

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, you may not use the Service.

1. Eligibility

You must be at least 18 years old and have the legal authority to enter into these Terms on behalf of yourself or your organization. By using the Service, you represent that you meet these requirements.

2. Accounts

• You are responsible for maintaining the confidentiality of your account credentials.
• You are responsible for all activities that occur under your account.
• You must notify us immediately of any unauthorized use of your account at support@ntaaffiliates.com.
• We reserve the right to terminate accounts that violate these Terms.

3. Description of Services

New Tech Advertising provides a digital agency management platform including:

• Campaign planning, execution, and management tools
• AI-assisted content generation and scheduling
• Client relationship management (CRM)
• Social media integration and publishing
• AI video generation (powered by HeyGen)
• Analytics, reporting, and workflow automation

Features and availability may change at any time. We will provide reasonable notice of material changes.

4. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose or in violation of any applicable regulations
• Upload content that infringes intellectual property rights or contains malware
• Attempt to gain unauthorized access to any part of the Service or its infrastructure
• Use automated means to scrape, crawl, or extract data from the Service without permission
• Impersonate any person or entity
• Interfere with or disrupt the integrity or performance of the Service
• Use AI-generated content to deceive, defraud, or harm third parties

5. Intellectual Property

The Service, including its software, design, and content, is owned by New Tech Advertising and protected by intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to use the Service for its intended purpose.

Content you create using the Service remains yours. By uploading content to the platform, you grant NTA a limited license to store, process, and display that content solely to provide the Service.

6. Third-Party Integrations

The Service integrates with third-party platforms including Meta (Facebook/Instagram), LinkedIn, Stripe, OpenAI, and HeyGen. Your use of these integrations is also subject to the respective third party's terms of service and privacy policies. NTA is not responsible for the actions or policies of third-party services.

7. Payment & Billing

• Fees for paid plans are billed in advance on a monthly or annual basis.
• All fees are non-refundable except as required by law or as explicitly stated in a written agreement.
• We reserve the right to modify pricing with 30 days' advance notice.
• Unpaid accounts may be suspended after a reasonable cure period.

8. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. NTA DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS. AI-GENERATED CONTENT IS PROVIDED FOR CONVENIENCE AND MAY NOT BE ACCURATE OR SUITABLE FOR ALL PURPOSES — ALWAYS REVIEW BEFORE PUBLISHING.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, NTA SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES ARISING OUT OF YOUR USE OF OR INABILITY TO USE THE SERVICE.

10. Indemnification

You agree to indemnify and hold harmless NTA, its officers, directors, employees, and agents from any claims, liabilities, damages, and expenses (including reasonable attorney's fees) arising from your use of the Service, violation of these Terms, or infringement of any third-party rights.

11. Termination

Either party may terminate the agreement at any time. Upon termination, your access to the Service will cease and we may delete your data in accordance with our data retention policy. Sections that by their nature should survive termination (including disclaimers, limitations of liability, and indemnification) will remain in effect.

12. Governing Law

These Terms are governed by the laws of the State of Florida, without regard to conflict of law principles. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts located in Florida.

13. Changes to Terms

We reserve the right to modify these Terms at any time. Material changes will be communicated via email or a prominent in-platform notice at least 14 days before taking effect. Continued use of the Service after changes constitutes acceptance of the updated Terms.
